STRUCTURING OF INTERNATIONAL FINANCING
- Advising on the selection of optimal financing structures and funding sources;
- Advising and assisting in identifying an optimal group of lead lenders capable of achieving the target debt level on competitive and flexible terms for the client and sponsors;
- Developing and implementing strategies for engaging potential arrangers, underwriters and lenders;
- Coordinating and maintaining relationships with prospective lenders, including participation in meetings, discussions and negotiations;
- Negotiating and drafting financing and credit agreements;
- Preparing presentation materials for potential financing parties, liaising with lenders and coordinating responses to lender inquiries;
- Developing alternative financing structures and identifying additional funding sources where required.
FINANCIAL MODELLING
- Preparing and refining financial models of the project or company for use by lenders in assessing debt service capacity and cash flow projections under various operational and financial scenarios;
- Calculating and analysing financial covenants based on the project’s financial model;
- Determining optimal capital expenditure schedules in line with covenant requirements;
- Forecasting the financial impact of cost overruns, business restructuring, changes in product pricing or operating expenses;
- Analysing historical performance and projecting future financial results;
- Calculating discount rates and key financial ratios;
- Testing the accuracy and sensitivity of project financial models.
INVESTMENT PROJECT RISK ANALYSIS
- Conducting comprehensive financial risk assessments and providing recommendations on risk mitigation structures, including (without limitation) supply and offtake contracts, procurement arrangements, pricing structures, foreign exchange exposure, interest rate risks and political risks.
KYC AND DUE DILIGENCE
- Preparation of a Project Information Memorandum (PIM);
- Preparation of borrower presentation materials with detailed disclosures;
- Preparation of documentation required to initiate KYC and due diligence processes.
DRAWING OF LOAN AND DEBT FACILITIES
- Assisting clients in fulfilling all conditions precedent for initial drawdown of loan proceeds and, where necessary, obtaining waivers or extensions;
- Providing additional support reasonably requested by the client, including briefings or presentations to relevant government officials of Uzbekistan, sponsors and the client in relation to project and corporate finance, risk analysis, financial model sensitivities and any other matters required to achieve Financial Close and initial drawdown.
